Joint Stock Company «Interregional Distribution Grid Company of Centre and Volga Region» has been functioning as the main service provider on the power transmission and process connection to power networks in Vladimir, Ivanovo, Kaluga, Kirov, Nizhny Novgorod, Ryazan, Tula regions, as well as in the
Republic of
Mary El and the
Republic of
Udmurtia.
Since February 29, 2008 Joint Stock Company «IDGC of Centre and Volga Region» has become a uniform operational company with its Head office in the city of Nizhny Novgorod that carries on control of the following nine regional branches: «Vladimirenergo», «Ivenergo», «Kalugaenergo», «Kirovenergo», «Marienergo», «Nizhnovenergo», «Ryazanenergo», «Tulenergo», «Udmurtenergo». The company creation pursuant to the specified configuration was executed in compliance with resolution № 1857-р of the RF Government dated December 19, 2007. The shares of the companies to be affiliated were converted into additional common shares of Joint Stock Company «IDGC of Centre and Volga Region» on February 29 2008, hence, all the DGC shareholders have become the shareholders of the uniform operational company.
The foundation of Joint Stock Company «IDGC of Centre and Volga Region» is the integral part of the Russian power engineering reforming program. On October 26, 2007 within the limits of distribution network complex reforming measures, the Board of Directors of RAO «UES of Russia» approved the main data of Joint Stock Company «IDGC of Centre and Volga Region» foundation, including the additional equity issue to be 112 600 000 000 common shares of Joint Stock Company «IDGC of Centre and Volga Region», as well as conversion ratio of DGC shares in additional common shares of Joint Stock Company «IDGC of Centre and Volga Region». The decision on the DGC reorganization to be joined Joint Stock Company «IDGC of Centre and Volga Region», as well as the approval of the Agreement for the affiliation and the assignment deeds was made by DGC shareholders at extraordinary general meetings that took place on December 11 and December 14 last year.
Joint Stock Company «IDGC of Centre and Volga Region» is the first company among all the IDGC, that has finished the process of the DGC affiliation within the reform of the RF distribution electrical power system.
Thus, Joint Stock Company «IDGC of Centre and Volga Region» funded the assets and created large interconnected power utilities that will implement a massive investment program and focused its corporate policy in compliance with the long-term development strategy. The foundation of the large operational company Joint Stock Company «IDGC of Centre and Volga Region» will result in the shares availability, credit rating increase, favorable investment situation and increase of the managers’ responsibility before shareholders and clients for the financial outcome, services quality and reliable power supply in the pilot areas.
